Role Purpose
To undertake re! gulatory and statutory obligations of HSBC Holdings plc, including those arising from the listing of shares on stock exchanges.
To assist with the operation of the Group Corporate Database (GCD) of group companies and officers.
Strong administrative support to the Assistant Secretary Board Support and cover for the Board Support Team, and supporting other team members as required, including logistical and administrative arrangements to support non-executive Directors of HSBC Holdings plc and meetings of HSBC Holdings plc Board, Group Audit Committee, Group Management Board, Risk Management Meeting, Group Risk Committee, Remuneration Committee and the Corporate Sustainability Committee.
Key Accountabilities
Impact on the Business/Function
To assist with meeting the regulatory and statutory
obligations of HSBC Holdings plc, including those arising from the listing of shares on stock exchanges.
Provide support to t! he HGHQ Board of Directors, subsidiary companies, senior manag! ement and the GMO Company Secretarial function.
To assist the Global Administrator with the Group Corporate Database (GCD) of group companies and officers
Logistical and administrative arrangements to support non-executive Directors of HSBC Holdings plc
Logistical and administrative arrangements for meetings of HSBC Holdings plc Board, Group Audit Committee, Group Management Board, Remuneration Committee, Corporate Sustainability Committee and Disclosure Committee
Customers / Stakeholders
Support to HSBC Holdings plc Directors and Group Managing Directors in the discharge of their individual statutory and regulatory obligations.
Primary support to the Global controller for all users of the GCD
Logistical and administrative arrangements for meetings of HSBC Holdings plc Board, Group Audit Committee, Group Management Board, Remuneration Committee, Corporate Sustainability Committee and Disclosure Committee
Leadership & Teamwork
Maintain and develop positive and professional working relationships with all team members within GMO SCY and GMO departments.

Role Context

The role holder implements policy decisions of the HSBC Holdings Board.
As such the role holder is required to maintain a knowledge of international stock exchange rul! es, regulatory obligations and corporate governance practices.
The diversity of HSBCâs business, its geographic spread and the constant changes internally and externally means the volume, complexity and diversity of matters, including confidential and commercially sensitive matters, with which the role holder is involved is very large and increasing.
The role holder will typically seek guidance from the Deputy Group Company Secretary, or Assistant Group Company Secretary to whom they functionally report on significant matters that arise which have implications for HSBC Holdings plc or its subsidiary companies and from Assistant Secretaries and Senior Company Secretarial Assistants on day to day matters.
The role requires a sound knowledge of the HSBC Group and a clear understanding of its culture.
It is essential that the role holder has a strong working relationship with, and the respect of and cooperation from his/her colleagues in th! e GMO SCY team.
The role holder also needs to develop close wo! rking relationships with third party service providers such as the Registrar, as well as RNS and the UKLA and share plan administrators.
Management of Risk
The role holder (i) assists in providing company secretarial advice against the backdrop of both the external legal and regulatory framework and the internal control framework of the Group Standards Manual; and (ii) assisting colleagues in GMO SCY and other GMO departments to ensure that HSBC Holdings plc, Committees and subsidiaries, their Directors Members and Officers comply with all relevant statutory and regulatory obligations.
Observation of Internal Controls
An âinsiderâ for dealing purposes and subject to strict controls and confidentiality.
Maintains HSBC internal control standards, including timely implementation of internal and external audit points together with any issues raised by external regulators.
Qualifications
Knowledge & Experience / ! Qualifications
Part or recently qualified company secretary (Associate of The Institute of Chartered Secretaries and Administrators).
Awareness of the UK Companies Act and aspects of the UK Stock Exchange Listing Rules.
A working knowledge of the HSBC Group and a clear understanding of its corporate culture is desirable.
Good communication, inter-personal, organisational and problem solving skills.
Flexibility, with the ability to prioritise and work well under pressure.
